Article 1: The name of this association is Dongguan Hakka Business Association.
Article 2 Nature of this association: Guests from both sides of the Taiwan Strait and residing in Dongguan are voluntarily formed.
Article 3: The purpose of this association is to promote exchanges among local residents of Dongguan. Increase mutual interaction, promote commercial cooperation, participate in public welfare undertakings, and carry forward the traditional spirit of hard work, unity, and hard necking of Hakka people.
Article 4: This association accepts the business guidance and supervision management of Dongguan Civil Affairs Bureau.
Article 5: Club: Room 22, 15th Floor, Humen Commercial Building, No. 305 Humen Avenue, Humen Town, Dongguan City, Guangdong Province.
Chapter 2 Business Scope
Article 6: The business scope of this association:
(1) Inherit the spirit of Hakka people's hard work, hard struggle, and perseverance, as well as their courage to explore and constantly strive for progress.
(2) Carry forward the spirit of tracing back to the roots, loving the countryside, having a pure heart, being diligent and frugal, advocating culture, and being intelligent and eager to learn, as well as the fine tradition of sincere unity, mutual assistance, and filial piety to parents.
(3) Strengthen connections with the World Hakka Association, organize social activities, and promote relationships among Hakka people worldwide.
(4) Actively participate in public welfare activities and make contributions to public welfare within the scope of one's abilities.
Chapter 3 Members
Article 7: Members of this association are natural persons.
Article 8: Members applying to join this association must meet the following conditions:
(1) Comply with laws and regulations, and support the articles of association of this association.
(2) There is a willingness to join this association.
(3) Good health, with a valid resident ID card.
(4) Has never been subjected to criminal punishment for deprivation of political rights.
(5) Having full capacity for civil conduct.
(6) Guests serving units in Dongguan area.
Article 9 Membership Procedure:
(1) Submit the application form for membership and a photocopy of the ID card (or Taiwan compatriot ID card, hometown return permit).
(2) Approved by the council through discussion.
(3) Pay membership fees.
(4) The membership certificate shall be issued by the council or an organization authorized by the council.
Article 10: Members shall enjoy the following rights:
(1) The right to vote, be elected, and vote in this association.
(2) Obtain activity information provided by the association and participate in various activities organized by the association.
(3) Priority in obtaining our services.
(4) The right to criticize, suggest, and supervise the work of this association.
(5) Voluntary membership and free withdrawal.
Article 11: Members shall fulfill the following obligations:
(1) Comply with laws and regulations, and implement the resolutions of this association.
(2) Protect the legitimate rights and interests of our association.
(3) Pay membership fees according to regulations.
(4) Actively participate in various organizational activities of the association.
(5) Without authorization from this association, no behavior shall be carried out in the name of this association.
Article 12: When a member withdraws from the association, they shall notify the association in writing to take effect.
Article 13: If a member commits serious violations of this Articles of Association, they shall be expelled through a vote of the Council or Executive Council.
Chapter 4 Selection and Recall of Organizational Structure and Responsible Person
Article 14: The highest authority of this association is the General Assembly of Members, and the powers of the General Assembly of Members are:
(1) Develop and modify articles of association.
(2) Election and removal of directors.
(3) Review the work report and financial report of the Council.
(4) Decide on termination matters.
(5) Decide on other major matters.
Article 15: The general meeting of member representatives must have more than two-thirds of the members present in order to be convened, and its resolutions must be passed by more than half of the members present in order to take effect.
Article 16: The General Assembly of Members shall hold a term of three years. If it is necessary to change the term in advance or postponed due to special circumstances, it must be approved by the board of directors and submitted to the competent business unit for review

Article 17: The Council is the executive body of the General Assembly of Members, which leads the daily work of the Association during its recess and is responsible to the General Assembly of Members.
Article 18: The powers of the board of directors are:
(1) Implement the resolutions of the member representative assembly.
(2) Elect and dismiss the President, Secretary General, and Deputy Secretary General, and nominate Vice Presidents to be decided by the President.
(3) Prepare to hold a member representative conference.
(4) Report work and financial status to the member representative assembly.
(5) Decide on the absorption or removal of members.
(6) Decide to establish administrative offices, branch offices, representative offices, and physical institutions, as well as their main responsible persons.
(7) Lead the work of various institutions in this association.
(8) Develop internal management systems.
(9) Decide on other major matters.
Article 19: The board of directors must be attended by more than two-thirds of the directors before it can be convened, and its resolutions must be approved by more than two-thirds of the attending directors before they can take effect.
Article 20: The board of directors shall convene at least one meeting per year. In special circumstances, communication and other forms can also be used for convening.
Article 21: The Association may establish an Executive Council based on actual circumstances. The Executive Council is elected by the Council and has the powers of the Council when it is not in session

Article 22: The Executive Council must have at least two-thirds of the executive directors present before it can be convened, and its resolutions must be passed by a vote of at least two-thirds of the executive directors present before it can be convened

Article 23: The Executive Council shall hold a meeting at least once every six months. In special circumstances, communication and other forms can also be used for convening.
Article 24: The President, Vice President, Secretary General, and Deputy Secretary General of this Association must meet the following conditions:
(1) Recognize Hakka culture.
(2) Hakka people can speak Hakka fluently.
(3) Has a certain career foundation.
(4) Never received criminal punishment.
(5) Having full capacity for civil conduct.
(6) Under the age of 70.
Article 25: If the President, Vice President, Secretary General, or Deputy Secretary General of the Association exceeds the maximum age of appointment, they must be approved by the Council of Directors and reported to the competent business unit
Only after review and approval by the registration and management authority of the association can one take up the position.
Article 26: The term of office of the Chairman, Vice Chairman, Secretary General, and Deputy Secretary General of the Association is three years and can be re elected.
Article 27: The legal representative of this association shall be one of the directors of this association. The legal representative of this association shall not concurrently serve as the legal representative of other organizations, nor shall he run for the position of president or secretary-general. To represent the Association externally, written authorization from the Association is required.
Article 28: The President of the Association shall exercise the following powers:
(1) Convene and preside over the Council (or Executive Council);
(2) Check the implementation of resolutions of the member representative assembly, council (or executive council);
(3) Sign important documents on behalf of this association.
(4) The nomination of the Secretary General and the successor to the President shall be decided by the Council.
(5) Approve and appoint the Vice President nominated by the Council.
(6) Announce the effective appointment of the Secretary General, Deputy Secretary General, and heads of various institutions.
Article 29: The Secretary General of this Association shall exercise the following powers:
(1) Lead the office to carry out daily work and organize the implementation of annual work plans.
(2) Coordinate the work of various branch offices, representative offices, and physical institutions.
(3) Nominate the Deputy Secretary General and the main responsible persons of various administrative offices, branches, representative offices, and physical institutions, and submit them to the Council or Executive Council for decision.
(4) Determine the employment of full-time staff in administrative agencies, representative agencies, and physical institutions.
(5) Handle other daily affairs.
Chapter 5 Asset Management and Usage Principles
Article 30: The source of funds for this association:
(1) Membership fees;
(2) Donation;
(3) Government funding;
(4) Income from activities or services carried out within the approved business scope;
(5) Interest;
(6) Other legitimate income.
Article 31: The association shall collect membership fees in accordance with relevant national regulations.
Article 32: The funds of this association must be used for the business scope and development of the undertakings stipulated in this articles of association, and shall not be distributed among members.
Article 33: This association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy, and completeness of accounting data.
Article 34: This association shall appoint accounting personnel with professional qualifications. Accountants are not allowed to concurrently serve as cashiers. Accounting personnel must conduct accounting and implement accounting supervision.
When accounting personnel are transferred or resign, they must complete the handover procedures with the person in charge.
Article 35: The asset management of this association must comply with the financial management system stipulated by the state, and accept supervision from the member congress and the financial department. Asset source belongs to
Those who receive state funding or social donations or subsidies must accept supervision from audit institutions, use the funds exclusively, and report their income and expenditure to the member representative assembly.
Article 36: Prior to the change of the term or the replacement of the legal representative of the association, the association must undergo financial audits organized by the registration and management authority of the association and the competent business unit.
Article 37: The assets of this association shall not be misappropriated, privately divided, or misappropriated by any unit or individual.
Article 38: The wages, insurance, and welfare benefits of full-time staff of this association shall be implemented in accordance with the relevant regulations of the state on public institutions.
Chapter 6 Procedure for Amending the Articles of Association
Article 39: Any amendment to the articles of association of this association shall be approved by the board of directors and submitted to the general meeting of member representatives for deliberation. However, the amendment to Article 27 of the articles of association is still valid
After the vote of the board of directors is passed, it must be signed and approved by the president before it can take effect. At the same time, the president can also veto the decision of the board of directors to modify this article.
Article 40: The amended articles of association of this association shall take effect 15 days after being passed by the member representative assembly.
Chapter 7 Termination Procedure and Property Disposal After Termination
Article 41: If the purpose of this association is completed, or if it needs to be dissolved on its own, or if it needs to be deregistered due to division, merger, or other reasons, the council or executive council shall propose a motion to terminate it.
Article 42: The motion to terminate the association shall be approved by the general meeting of members and submitted to the competent business unit for review and approval.
Article 43: Before the termination of this association, a liquidation organization must be established under the guidance of the business supervisory unit and relevant authorities to clear up debts and debts, and handle aftermath matters. Liquidation
During this period, no activities other than liquidation will be carried out.
Article 44: This association shall terminate upon completion of the cancellation registration procedures by the registration and management authority of the association.
Article 45: After the termination of this association, the remaining assets shall be used for development under the supervision of the competent business unit and the registration and management authority of the association, in accordance with relevant national regulations

Chapter 8 Supplementary Provisions
Article 46: This Articles of Association shall come into effect from the date when it is passed by the General Assembly of Members on [date].
Article 47: The right to interpret these articles of association belongs to the board of directors of this association.
